Welcome to **Sheshaya Technology Private Limited** (referred to as "Sheshaya Tech"), a custom software development and IT consulting company specializing in web and mobile applications. By accessing and using our services, you (the "Client") agree to comply with and be bound by the following terms and conditions.

1. Software and Intellectual Property Ownership

1.1. License Grant and Ownership Transfer

• **Final Custom Code Ownership:** Upon **full and final payment** of all agreed-upon fees, Sheshaya Tech shall transfer, and the Client shall own, all Intellectual Property Rights (including all copyright and title) in the **Final Custom Code**. This is the specific code written by Sheshaya Tech solely to meet the Client’s requirements.
• **Pre-Existing Code License:** Sheshaya Tech retains ownership of its proprietary **Pre-Existing Code** (including internal tools, general libraries, and development frameworks). The Client is granted a perpetual, non-exclusive, worldwide, and royalty-free license to use all Pre-Existing Code incorporated into the Final Custom Code solely for the operation of the software.

1.2. Restrictions and Client Use

• The Client may **modify, adapt, translate, and create derivative works** based on the Final Custom Code once ownership has been transferred.
• The Client agrees not to reverse engineer, decompile, or otherwise misuse the **Pre-Existing Code** owned by Sheshaya Tech.
• The Client may not rent, lease, sell, distribute, or otherwise transfer the software or its components to any third party, except as part of a sale or transfer of the Client’s entire business or a relevant business unit.

1.3. Termination

Sheshaya Tech may terminate this agreement if the Client fails to comply with any of these terms and conditions, particularly regarding payment or the misuse of Sheshaya Tech’s retained Pre-Existing Code. Upon termination, the Client must cease all use of the software and destroy all copies of the software in their possession.

2. Third-Party Websites, Content, Products, and Services

2.1. Links to Third-Party Sites

Our services may include links to third-party websites, content, products, and services. These links are provided for your convenience only.

2.2. No Responsibility

Sheshaya Tech is not responsible for the content, accuracy, or opinions expressed in such third-party websites. We do not investigate, monitor, or check these websites for accuracy or completeness.

2.3. Use at Your Own Risk

Your use of third-party websites, products, or services is at your own risk. We strongly recommend that you review the terms and conditions and privacy policies of any third-party entities before engagement.

3. Site and Service Security

3.1. Security Measures

Sheshaya Tech implements commercially reasonable security measures to protect against unauthorized access to, or alteration, disclosure, or destruction of, your personal and project information.

3.2. User Responsibilities

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3. Prohibited Actions

You agree not to:

• Violate or attempt to violate the security of the site or our services.
• Access data not intended for you or log into a server or account that you are not authorized to access.
• Attempt to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization.
• Interfere with or disrupt the services or networks connected to the services.

4. Web Browser Support

4.1. Supported Browsers

Sheshaya Tech’s web applications are designed to be compatible with the latest, fully updated versions of major web browsers, including Google Chrome, Mozilla Firefox, Safari, and Microsoft Edge.

4.2. Browser Updates

To ensure optimal performance and security, we recommend that you keep your web browser up to date.

4.3. No Guarantee

While we strive to support a wide range of web browsers, we do not guarantee that our web applications will function properly on all browsers or versions. If you experience issues, please contact our support team for assistance.

5. General Terms

5.1. Changes to Terms

Sheshaya Tech reserves the right to change these terms and conditions at any time. Your continued use of our services following any changes indicates your acceptance of the new terms.

5.2. Governing Law and Dispute Resolution

• **Governing Law:** These terms and conditions are governed by and construed in accordance with the laws of **Nepal**.
• **Dispute Resolution:** Any dispute arising out of or in connection with these terms shall be subject to the following process:
  1. **Negotiation:** The parties shall first attempt to resolve the dispute through good faith negotiation.
  2. **Binding Arbitration:** If negotiation fails, the dispute shall be finally resolved by **binding arbitration** under the rules of the **Singapore International Arbitration Centre (SIAC)**. The arbitration shall take place in Singapore.
  3. **Jurisdiction:** If arbitration is waived or fails, the parties agree that the courts of **Kathmandu, Nepal** will retain jurisdiction over the matter.
